Sole propietorship

Hello i have a sole propiertorship that i have been starting up for the last year. I am a total new person to businesses and the legal obligations and so on.

My question is Can i call my one man team a business?(legally)
I live in the US (maryland)

also check in with your local SBA office, they usually have a 2 week course
for small business persons, and can help you get off the ground. You can
find the state codes at the public library, they will list all local state codes
concerning small business. You may also wish to get a copy of West's UCC
( Uniform Commercial Code ) most states and the fed use it as basis.

Also, you might want to check out a small business incubator in your area. They are a great opportunity for budding business owners. They usually provide modern, high quality office space for very low rates. As incubators, they only provide services for 2-3 years -- giving the new business some time to become viable intities.

Your profile doesn't say where you're located, but hopefully you can find an incubator close to where you live.

Thanks alot, on that site it says alot about taxes. Really i dont plan to make a income for making games. I plan to make freeware games and work my way up from there.


I really just want to know if i can call my team "devsoftinteractive" a company?. Again i dont really plan to make a income. So is there a way to avoid the taxes, and office space and stuff?

If you make income, you have to pay federal/state/local income tax, social security tax, and medicare. If you don't make income, you don't have to pay taxes on it. The only way to avoid taxes is not to make income.

Obviously, if you're just sitting in your house making video games, you don't need office space.

You can probably register "devsoftinteractive" as a fictitious name and call it a company. But why would you bother? If you're not trying to make money, there's no point in paying to register a fictitous name. The only other reason I can think of to establish a company is so that it can own the intellectual property of the game. But if the company is just a sole proprietorship, you ARE the company, so that will just be saying that you own the intellectual property.

In most cases, the people who develop the intellectual property will own it, but I'm not an expert.

By the way, whenever you accept money as payment for goods or services, you're automatically a sole proprietorship unless you form a corporation. If you're working with some other people, you're usually automatically a partnership instead of a sole proprietorship. If you don't accept any payment, your activities are just a hobby unless you go out of your way to register a business.
