Companies and the EULA

I'm not sure quite how to ask this question, so please bear with me here. Actually, I suppose it's several questions that I need to ask.
1) I understand that the Indie license cannot be purchased by a "company". However, I want to start a one-person corporation to cover my intellectual assets. If I do this, can I make games with Torque in the company name?
2) If I purchase Torque as an individual, can I transfer the ownership rights over to the corporation so that it can be included in the company's lists of assets?
3) If I am not permitted to do #2, does anyone know what the legal and/or tax ramifications (outside of the Torque EULA, I mean) for using a privately-owned component to make a company-owned product?
I hope these questions are clear. They're not really about the EULA, so much as what happens after.

I believe for the asset transfer, you'll have to have a commercial license, but I can create games as either a contractor or as a member of a company (under the company name). I cannot share the code with other developers or have it included as corporate assets (unless as a sole proprietorship). That's why the "developer" disctinction versus "individual" is important. The commercial license is a single seat license, which is not tied to a specific programmer.
